It is filed by directors, officers and shareholders who own more than 10% of a class of the company’s equity securities.
Section 16 has got three different forms which has to filed with the SEC as per the compliance requirements.
Form 3, 4, 5
Form 3
It is the initial statement of beneficial ownership of company’s equity securities which is filed by the registrant.
Form 3 has to be filed within 10 business days after the insider has become affiliated with the company.

Form 4
It describes the Statement of changes in beneficial ownership in company’s equity securities.
Form 4 has to be filed within 2 business days since the transaction has occurred.

Form 5
It discloses the Annual statement of beneficial ownership in company equity securities.
Form 5 is used by individuals when they have failed to report the changes in ownership.

Schedule 13D
Schedule 13D is generally referred to as “beneficial ownership report” based on the shares owned by the individual.
Any person who directly or indirectly shares voting power or investment power(the power to sell off the securities).
When the beneficial ownership of more than 5% is acquired by an individual or a group of individuals of a voting class of a company’s equity securities, they are required to file a Schedule 13D with the SEC.
It reports the acquisition and other information within ten days after the purchase.
The schedule 13D is filed with the SEC and is provided to the company that issued the securities.
